POLICIES AND PROCEDURES 1.o Mission Statement The objective of Gold Rush America (“GRA”) is to build the largest, well-respected and exciting precious metals buying company in the world. We are committed to providing our Associates and our Clients with a safe and professional environment for the exchange of precious metals. As a company we shall offer the best opportunity for our Associates to succeed by providing each of them with quality training at all levels of advancement and by maintaining a mutual commitment to our continuing improvement and growth. 2.0 Revision History This is the original writing of GRA Policies and Procedures. 3.0 Persons Affected All GRA Associates, Office Staff, Managers and Members. 4.0 Policy GRA has a stellar reputation with its clients and prides itself on this fact! GRA has earned its’ reputation through dedication, hard work and a commitment to excellence to clients, Associates and business partners. Our motto is simple “Do the right thing at all times.” GRA expects all Associates to protect the GRA reputation and conduct themselves with the utmost amount of professionalism and integrity. 5.0 Definitions • Associates - GRA “Associates” are defined as all persons engaging in coordinating and promoting precious metal buying events and or persons testing and purchasing precious metals at events. • Certified Gold Buyers (Testers) – GRA “Testers” shall be considered and referred to as “Associates” of GRA for purposes of all GRA policy and procedure documents and/or agreements. • Event – An “Event” is defined as any one of the following: 1) a one-on-one purchase of precious metals; 2) an in-home party wherein precious metals are purchased from clients; 3) a fundraiser involving the purchase of precious metals; and/or any other precious metal purchase. • Required information - “Required Information” for all scheduled Events is defined as follows: 1) Date and time of Event; 2) Host/Hostess Name; 3) Host/Hostess Phone Number; and 4) Event Address (including city, state, zip, and county). • Qualifying Promotion Event - A “qualifying promotion event” is when an Associate achieves the required purchase volume of precious metals purchased within the specified time periods stated in the GRA Commission Structure outlined below. 6.0 Responsibilities All Associates must complete, execute and submit on an annual basis the following forms to GRA prior to hosting any precious metal buying event or earning any commissions. 1) GRA Application; 2) GRA Policies and Procedures; 3) Proprietary Information Agreement; and 4) Request for Taxpayer Identification Number and Certification (Form W-9). All Associates shall re-submit these forms for annual renewal with GRA in the month of January of each new year. All Associates must be 18 years of age or older. All Associates are required to view the GRA software training video and become proficient at using the software. All Associates must be in compliance with all Federal, State, and Local laws and regulations with regard to the business of purchasing precious metals. Associates are expected to follow all guidelines provided by GRA and GRA shall not be held accountable for any error, omission, or negligence on the part of any Associate. 7.0 Procedures Scheduling an Event When scheduling an Event with GRA, all Associates are responsible for inputting all “Required Information” within the GRA website “Event Calendar” within specified time frames. (Ex. The state of Florida requires an Event to be entered 2 weeks prior to the actual Event date. All other states require the Event to be entered 1 week prior to the actual Event date. Regulations and Laws vary by state so this time frame will vary based on the event location). Upon Associate completion of Event scheduling, GRA will schedule a Tester Associate to attend the Event. Event Responsibilities Associates - Associates are required to attend each Event they schedule. Other responsibilities may include, but are not limited to, completing Client Information Cards, promoting GRA business opportunities, scheduling future events, soliciting new clients and/or Events, and assisting with all necessary GRA compliance paper work as required by law. Testers - Testers are required to examine, test, and purchase precious metals based upon GRA standards and recommended testing procedures. Tester Associates shall package and ship precious metals to GRA within one (1) business day following an Event in accordance with GRA Shipping Guidelines. Individual Host/Hostess Commission - An Event Host/Hostess shall be paid 10% of the total amount paid out at the Event. Charity Host Commission - A charity organization Host shall be paid 15% of the total amount paid out at the Event. Charity Host check shall be made payable to the charity organization, not an individual. Additional Payments/Referral Fees - Any undefined payments or fees in excess of the GRA Host/Hostess commission defined above, paid, or agreed to be paid, by an Associate for an Event shall not become the financial responsibility of GRA to pay. GRA Associates are free to offer and/or pay other enticement fees to clients or Event Hosts/Hostesses from their own personal funds. In the event an Event Host/Hostess is paid more than the defined commission from GRA funds; GRA shall reduce the commission of the Tester Associate of that Event by the amount overpaid. If an Associate is the Host/Hostess of their own Event they shall be permitted to earn both the 10% Host/Hostess commission and the appropriate GRA commission. Lost Checks - In the event a client loses the GRA check that was issued to them as payment for precious metals and/or a Host/Hostess commission, the Associate that scheduled the Event shall take the following action immediately: 1. Call GRA immediately to notify of Check #, name of person check was made payable to, and dollar amount of check. 2. GRA shall take steps to stop payment and will request confirmation that the bank has not processed the check. Once GRA has succeeded in stopping payment on the check, the Associate may reissue a new check to the Client less a $35.00 stop payment fee. 3. Associate shall then notify GRA of the NEW check #, name of person check was made payable to; and NEW dollar amount of check. Commissions & Bonuses Direct Deposit - Direct Deposit is available. Please see the “Download” section of the GRA website for instructions and required form. If GRA does not receive a completed Direct Deposit form with the required copy of a voided check, GRA shall issue and mail a manual check to the Associate. Pay Dates - Please refer to the GRA website under “Commission Dates to Remember”. Travel Expenses - GRA Associates shall be responsible to pay for all event related travel expenses. GRA shall reimburse all reasonable travel expenses after the precious metals from the Event are received and processed through the GRA home office. Individual Associate shall include receipts for any expenses incurred with the overnight shipment of the precious metals from that Event. All travel expenses must be supported by valid legible receipts (no exceptions). Claims of Income - GRA shall issue annually a Miscellaneous Income (Form 1099) to each Associate within the month of January. Associates shall be responsible and accountable for compliance with all Internal Revenue Services (IRS) tax reporting requirements, rules and regulations. Any false claims of income, or lack there of, on the part of an Associate shall not be the responsibility of GRA and can result in termination of an Associates business relationship with GRA. Commission Structure Gold Panner Gold Prospector Gold Miner (600 dwt in 2 months) (1200 dwt in 1 month) The commission at each level shall be based on the net profit from any Personal event. Personal 30% 40% 50% Level 1 10% 15% 20% Events with less than 50 dwt shall not qualify for Level 2+ BONUSES. Level 2 5% Paid on Level 2 and below until a maximum of 70% of event profit is paid out. Bonuses/Group Bonuses - In order to receive monthly bonuses, and/or group bonuses Associates shall comply with the following: 1. Gold Panner/Prospector Level: Must achieve 50 (dwt) or more of gold or platinum purchased. 2. Gold Miner Level: Must achieve one of the following: • 50 dwt or more of gold, or platinum purchased; or • Group must achieve 1000 dwt or more of gold, or platinum purchased. Promotions - Associate promotions are earned within the GRA Commission Structure on the (1st) first of the month following the month within which the qualifying promotion event occurs. All applicable bonuses are effective and paid to the Associate on the (1st) first day of the month following the qualifying promotion event. Once an Associate achieves a promotion level, they shall never be demoted to a lesser level. Sponsorship - GRA Associates are entitled to sponsor other individuals into their GRA individual proprietorship within the United States, its territories and other countries in which GRA is currently licensed to do business. Associates shall only be compensated for Events at which the purchase of precious metals takes place. Associates shall not be compensated for sponsoring new Associates into the GRA business. Associates shall not sign up other household members. GRA shall permit only one Associate per household. In the event two individuals residing in the same household choose to work as a “team”, or “one proprietorship” within GRA this is a personal agreement which shall remain separate and apart from GRA’s defined “Commission Structure”. GRA shall issue payment of commissions and/or bonus checks to one individual Associate per household (no exceptions). Sponsor Change/Correction - Sponsor changes shall not be permitted. Sponsor corrections shall be made if the error is reported to GRA within three (3) business days of the new Associate enrollment. Sponsor correction requests shall be made by the current (original) Sponsor only. Sponsor correction requests shall be made in writing and shall include an explanation of the error and how the current Sponsor desires GRA to assign the new Associate. Crossline Recruiting - Recruiting others directly or indirectly whether through written, spoken, or implied means, from one Associate proprietorship to another is strictly prohibited. If evidence is found that proves an Associate is, or has attempted to, cross line recruit that Associate shall be terminated from the GRA organization and Associate shall lose any and all commissions from their proprietorship. Sale/Transfer of Proprietorship - A GRA Associate shall be permitted to sell or transfer his or her right and/or interest in his or her GRA proprietorship to a non-distributor following a period of six (6) months from the Associates’ origination date with GRA. A completed and notarized Sale/Transfer form must be submitted to GRA via US mail, email or fax. All transfers are subject to a $50.00 transfer fee. Any change in business status (individual to corporation or vice versa) also requires a completed and notarized Sale/Transfer form and is subject to a $25.00 transfer fee. All transfer fees shall be made payable to GRA. Acquisition of Existing Proprietorship - Any Associate desiring to acquire another GRA Associate’s proprietorship must first terminate his/her proprietorship and wait a period of six (6) months from the date of the resignation notice before finalizing such purchase. All such transactions shall be fully disclosed through the completion of a Sale/Transfer form submitted to GRA and require GRA prior approval. Resignation - Any Associate may voluntarily resign his/her Associate status by failing to renew when required or by sending written notice to GRA. Resignation is effective immediately upon receipt of notice. An Associate who resigns his/her proprietorship may not reapply, either individually or have a financial interest in any other proprietorship within GRA, for a period of six (6) months from the date of resignation. Suspension - GRA reserves the right to suspend any Associate position at any time for cause when it is deemed that the Associate may have violated the provisions of the GRA Application Agreement, Policies & Procedures, Non-Compete Agreement or Proprietary Agreements as they might be amended from time to time or the provision of applicable laws and standards of fair dealing. GRA shall make such involuntary suspension of an Associate at its discretion pending the investigation of possible violations. GRA shall notify Associate of suspension by postal delivery and/or email sent to the latest address listed with GRA for the Associate. In the event of a suspension, Associate agrees to immediately cease representing himself/herself as an Associate of GRA. During the investigation period of the suspension, any commissions, or bonuses, if any, will be held in abeyance by GRA pending resolution. Should the infraction be deemed unsubstantiated by GRA, the suspension shall be lifted and any commissions, or bonuses shall be immediately credited to the Associate. Termination - An Associate shall be immediately terminated for violating any of the terms of the GRA Application Agreement, Policies & Procedures, Non-Compete Agreement or Proprietary Agreements. GRA shall notify Associate of termination by postal delivery and/or email sent to the latest address listed with GRA for the Associate. The Notice of Termination shall cite the reason(s) for the action. Termination shall be effective as set forth within the Notice, unless a timely appeal is provided by the Associate in accordance with the appeal procedure set forth below. Immediately upon termination, the terminated Associate shall remove and permanently cease the use of all GRA trademarks, service marks, stationary and/or advertizing materials referring to or relating to any GRA plans, programs or Events. The terminated Associate shall immediately cease representing himself/herself as an Associate of GRA. In the event an Associate is terminated for cause Associate shall lose all right and entitlement to any and all future compensation from GRA. A terminated Associate shall take immediate steps to return any and all property of GRA. GRA has the right to offset any amounts due and owing by a terminated Associate to GRA. Where state laws on termination are inconsistent with this policy, any applicable state law shall apply. Appeal - A terminated Associate may appeal termination by submitting a letter to GRA within ten (10) business days stating the grounds for appeal. (Note: No telephone calls will be accepted under any circumstances). If GRA has not received a letter of appeal within ten (10) business days, the involuntary termination shall automatically become final. If an Associate files a timely appeal, GRA shall, at its sole discretion, review and notify the Associate of its final decision. The decision of GRA shall be final and shall not be subject to further review. In the event that an appeal is denied, the termination shall remain in effect as of the date of original notice. Cumulative Remedies - All rights, powers and remedies given to GRA are cumulative, not exclusive and are in addition to, any and all other rights provided by law. Upon a breach of any of the GRA Agreements by an Associate, in addition to suspension and/or termination, GRA shall have the right to impose fines as established by GRA from time to time and/or to pursue all legal and equitable remedies to enforce its rights under these Agreements. GRA shall have the right to offset against commissions owed to an Associate any amounts deemed to be owed to GRA by such Associate. Social Media - Associates shall not post any comments promoting any business other than GRA on the GRA Facebook page. Associates shall not make any negative, derogatory, or misleading comments about GRA, its’ other Associates, Clients and/or Business Partners on any social media websites. GRA reserves the right to delete any such comments and/or rescind Associates privileges or access to such sites. Advertising - Any and all advertising materials shall be approved by GRA. No Associate shall produce his or her own business cards or any other promotional materials without prior written approval from GRA. Indemnification and Hold Harmless - To the fullest extent permitted by law, Associates shall agree to indemnify and hold and save any and all Officers, Managers and or Managing Members of GRA free and harmless from all expenses, claims, liabilities, losses, judgments or damages, including reasonable attorney fees ("Losses") which said Associate may suffer or incur as a result of injury, loss or damage to person or property by reason of any cause whatsoever, arising in whole or in part, from the performance of their duties where said Associate is carrying out the responsibilities associated with a precious metals buying Event or acting under the express or implied direction of GRA. This agreement shall apply whether the losses arise in whole or in part because of the active or passive negligence of the Associate and shall exist except where the losses arise because of the willful misconduct of GRA. Terms & Conditions - Associate understands that there are no requirements beyond filing of this Application and no purchase of sales or training materials are required to become an Independent Associate. For purposes of these Terms, GRA, its parents, subsidiaries, and affiliates shall be referred to as GRA. The undersigned Associate, affirms that he/she is of legal age in the state of execution of this Agreement. The undersigned Associate, understands that this Agreement is not binding until received and accepted by GRA. The undersigned Associate agrees that he/she is an Independent Associate, responsible for his/her own business proprietorship and not an agent, legal representative or employee of GRA or any party with whom GRA transacts or contracts business. The undersigned Associate agrees that he/she will not be representing in any manner, that he/she is an agent, representative, legal representative or employee of GRA or any party with whom GRA transacts or contracts business and will not be treated as an employee for purposes of any federal, state or local statute, regulation, ordinance or other law. The undersigned Associate acknowledges that as an Independent Associate, he/she is not guaranteed any income nor assured any profits or success, and Associate certifies that no claims of guaranteed profits or representations of expected earnings that result from his/her efforts as an Independent Associate have been made by GRA. The undersigned Associate understands that while he/she will receive support and training from GRA Associate is ultimately responsible for his/her own success. In the process of marketing or otherwise promoting the services of GRA Associate agrees that he/she, as an Independent Associate, will operate in a lawful, ethical and moral manner and agrees to make no false or misleading statements. The undersigned Associate understands that during any investigation by GRA with respect to breach of this Agreement and/or GRA Policies and Procedures, his/her proprietorship may be suspended by GRA and any payments, which may be otherwise owed to him/her, shall be escrowed until final resolution has been achieved. Associate acknowledges that in the event Associate does violate this Agreement and/or GRA Policies and Procedures his/her proprietorship rights may be terminated without further receipt of commissions or payments of any kind. I THE UNDERSIGNED ASSOCIATE HAVE READ THIS AGREEMENT CAREFULLY AND I UNDERSTAND ITS TERMS. I ACCEPT THE OBLIGATIONS THAT IT IMPOSES UPON ME WITHOUT RESERVATION. NO PROMISES OR REPRESENTATIONS HAVE BEEN MADE TO ME TO INDUCE ME TO SIGN THIS AGREEMENT. I SIGN THIS AGREEMENT VOLUNTARILY AND FREELY.
